SBI Funds Management Limited, (SBI AMC) Established in 1987, it is India’s oldest asset management company outside the Unit Trust of India and serves as the investment manager to SBI Mutual Fund.
The company is the largest asset management company (AMC) in India by quarterly average mutual fund assets under management (QAAUM), with QAAUM of Rs. 12,510 bn and a mutual fund market share of 15.3 pct as of FY26. Additionally, the company also commands 1st position in ETF/passive ETF QAAUM with market share of 27.9 pct, 1st position in B-30 MAAUM with market share of 19.2 pct and 1st position in Portfolio Management Services (PMS) with market share of 39.7 pct.
As of FY26, SBI AMC managed (i) 35 equity, equity-oriented schemes; (ii) 48 debt schemes; (iii) 1 arbitrage scheme; (iv) 37 ETFs, index fund schemes; (v) 4 fund-of-funds domestic schemes; (vi) 2 liquid and overnight schemes; and (vii) 1 SIF strategy. In addition to mutual fund business, the company offer alternative investment products including PMS and AIFs to serve high-networth individuals, institutional investors, and sophisticated investors seeking customized investment solutions and access to alternative investment strategies
The company has a pan-India distribution presence supported by an omnichannel approach that integrates physical and digital platforms. Their mutual fund distributors (MFDs) consisted of 132,519 institutional and individual MFDs, which includes 122,460 independent financial advisors (IFAs), 9,964 national distributors (NDs), and 95 banks (including SBI). They have also embraced digital distribution channels to serve the growing segment of digitally native investors.
Out of the total proceeds of Rs. 116,930 mn, ~Rs. 116,930 mn would go towards existing promoter selling shareholders of the company as SBI AMC expects that listing of the Equity Shares will enhance their visibility and brand image.

- Mutual fund QAAUM grew at a 20.5 pct CAGR over FY21-FY26 to Rs. 81.5 trillion and is expected to grow at a 16-18 pct CAGR over FY26-FY30, reaching Rs. 147-155 trillion driven by increasing financialization of household savings, rising retail participation, expanding SIP adoption, and growing investor preference for professionally managed investment products.
- SBI AMC promoters are State Bank of India (SBI), Amundi India Holding and Amundi Asset Management. This strategic dual parentage creates a unique competitive advantage that distinguishes SBI AMC from both standalone domestic asset managers and other bank-affiliated AMCs in India as SBI’s wide domestic distribution franchise with Amundi’s global asset management capabilities, created a structurally differentiated platform that is difficult to replicate.
- Being largest AMC with Rs. 12,510 bn of AAAUM provides significant economies of scale that translate into competitive advantages across research, operations, and profitability. On the other side, SBI AMC has lowest operating expense ratio among the top 10 AMCs in India, with operating expenses as a percentage of QAAUM of 0.08 pct for FY26, compared to a range of 0.10 pct to 0.25 pct among the remaining top 10 AMCs for the same period.
- SBI AMC operate a team-based investment approach supported by defined investment processes, robust research frameworks, and multi-layered decision-making structures. Their equity investment process combines top-down macroeconomic analysis with bottom-up fundamental research, while their fixed income investment process follows a safety-liquidity-returns framework emphasizing credit assessment and duration management.
- SBI AMC’s key growth strategies include (i) To deepen retail penetration in underserved markets by leveraging wide distribution network (ii) Strengthen digital capabilities to enhance investor engagement and operational productivity (iii) Expansion of product offerings and investment solutions (iv) Capture international opportunities through structurally advantaged global positioning.
- SBI AMC’s sales have grown 27.7 pct CGAR over FY24-26 while EBITDA and profit grew 32.3 pct CAGR and 21.6 pct CAGR over same year. In FY26, the company reported sales of Rs. 43,895 mn, increased 22 pct YoY. EBITDA rose 25.1 pct YoY to Rs. 34,718 mn while profit increased by 21.6 pct YoY to Rs. 30,674 mn.
Key Risk
- Unfavourable market changes and economic downturns may result in customer withdrawals or a decrease in customer transactions, can decline SBI AMC’s AUM and fees.
- Constant underperformance of any of the schemes of the company can impact AUM of the company.
- Changes to the regulatory framework governing mutual fund fees and expenses, including the introduction of the Base Expense Ratio framework and reduction in TER caps, directly reduce management fee and TER income, and the ongoing increase in the proportion of passive schemes within SBI AMC’s AUM mix which carry significantly lower management fees than actively managed schemes further compress their operating margins.

Valuation
SBI Funds Management Limited, (SBI AMC), is India’s largest AMC in India with QAAUM of Rs. 12,510 bn and a mutual fund market share of 15.3 pct as of FY26. At the upper end of the price band of Rs. 575, the issue is priced at PE of 38.21x its FY26 earnings based on post issue capital. The issue appears to be fairly priced. Only long-term investors can subscribe this issue. As SBI AMC’s dual parentage creates a unique competitive advantage that distinguishes it from both standalone domestic asset managers and other bank-affiliated AMCs in India. Additionally, the low penetration of mutual funds in India, at 18.5 pct of GDP, compared with 126.3 pct in the US and 87.3 pct in Canada, and the fact that only 4 pct of India’s population is invested in mutual funds, present significant long-term headroom for the company.
